License Terms

These License Terms govern your use of the KC Prime software (“the Software”). By installing or using the Software you agree to them. They form part of our Terms of Use.

1. License grant

When you pay for KC Prime, Knyaw Capital grants you a personal, non-exclusive, non-transferable license to use the Software with NinjaTrader 8 on one live trading account and one demo account, each identified by its NinjaTrader account name and linked to the license key we issue to you. The Software is licensed, not sold.

2. Restrictions

You may not:

• use the Software on more accounts than your license covers, or share, resell, sublicense, rent or lend it or your license key;
• copy, modify, decompile, disassemble or reverse engineer the Software, or attempt to remove or bypass its license checks or protection;
• use the Software to provide trading signals or managed trading services to others.

3. License checks

The Software periodically contacts our license server to confirm that your license is valid for the account it is running on. It needs an internet connection for this. If the license cannot be confirmed, has been revoked, or is used on an account it was not issued for, the Software will not open new trades. Short internet outages are covered by a grace period.

4. Moving to a different account

If you change brokers or accounts, contact us. We may move your license to the new account at our discretion; the old account will then stop being licensed.

5. Updates and support

The first 30 days of support are included with your purchase. After that, new versions, quarterly NQ contract rollover and daily connection checks are provided to customers with an active ongoing support plan. We are not obliged to release updates, and we may change or discontinue features.

6. Revocation

We may revoke your license, without refund, if you breach these License Terms or the Terms of Use. You may stop using the Software at any time.

7. Your trading

The Software places orders on your own account according to its rules and the settings you choose. You remain fully responsible for your account, your trades and all gains and losses. See the risk and liability sections of the Terms of Use.

8. Ownership

Knyaw Capital retains all rights, title and interest in the Software, including its trading logic, code and documentation.
